Terms of Service

These Terms of Service ("Terms") govern your use of AxiomGuardOS's websites, applications, and related services (the "Services"). By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent you have authority to bind that organization.

1. The Services

AxiomGuardOS provides a CMMC Readiness Assessment platform designed to help organizations map network boundaries, evaluate NIST SP 800-171 controls, track Remediation Plans of Action and Milestones (POAM), and generate audit-grade compliance artifacts such as System Security Plans (SSP).

2. Accounts and Access

  • You must provide accurate information and keep it updated.
  • You are responsible for maintaining the confidentiality of login credentials and for all activity under your account.
  • Workspace administrators may have the ability to manage users, permissions, and configurations.

3. Acceptable Use

You agree not to:

  • Use the Services for unlawful, harmful, or fraudulent purposes.
  • Attempt to bypass security, access controls, or rate limits.
  • Upload malware or exploit the Services.
  • Interfere with the integrity or performance of the Services.
  • Reverse engineer the Services except where prohibited by law.
  • Use the Services to create or deploy high-risk systems in violation of applicable laws and regulations.
  • Upload, store, or transmit actual Controlled Unclassified Information (CUI), Federal Contract Information (FCI), or International Traffic in Arms Regulations restricted data into the standard AxiomGuardOS environment. The platform is designed strictly for compliance metadata, policy documentation, and architectural evidence.

4. Customer Data and Responsibilities

"Customer Data" means data, content, and materials submitted to the Services by you or on your behalf (including policies, evidence artifacts, scan inputs, and operational logs).

You represent you have the rights and permissions to submit Customer Data.

You are responsible for:

  • Configuring the Services appropriately for your compliance obligations,
  • Reviewing outputs before relying on them for legal, regulatory, or safety decisions,
  • Maintaining independent compliance programs as required.

You acknowledge that the accuracy and usefulness of any readiness assessment, scoring, or gap analysis generated by the Services depends entirely on the accuracy, completeness, and timeliness of the network diagrams, policies, architectural descriptions, and other evidence that you submit or maintain within AxiomGuardOS.

5. Disclaimer of Certification and Professional Services

AxiomGuardOS provides readiness tools and gap analysis based on United States Department of Defense guidelines and related public frameworks. We do not provide official CMMC certifications. Use of the Services does not guarantee a passing score from a Certified Third-Party Assessment Organization (C3PAO), nor does it constitute formal legal advice, certified public accountant attestation, or a guarantee that you will obtain or retain contracts with the United States Department of Defense or any other governmental or commercial counterparty.

6. Confidentiality

Each party may receive confidential information. You agree to protect confidential information using reasonable care and to use it only for purposes of providing or using the Services. Confidentiality obligations do not apply to information that is public through no fault of the recipient or independently developed without use of confidential information.

7. Intellectual Property

  • We own the Services, including software, design, and underlying technology.
  • You retain rights to your Customer Data.
  • Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Services during the subscription term.

8. Feedback

If you provide feedback or suggestions, you grant us a royalty-free, worldwide license to use it without obligation, so we can improve the Services.

9. Beta Features

Some features may be labeled "beta" or "preview." Beta features are provided as-is, may change, and may not be supported.

10. Availability and Support

We aim for high availability, but the Services may be unavailable due to maintenance, updates, or events outside our control. Support levels, if any, depend on your subscription or written agreement.

11. Fees (if applicable)

If you purchase a paid plan, you agree to pay applicable fees. Additional billing terms may be provided in an order form or subscription agreement.

12. Termination

  • You may stop using the Services at any time.
  • We may suspend or terminate access if you materially breach these Terms, if required by law, or to protect the security of the Services.
  • Upon termination, your right to use the Services ends. Data export/deletion may be available per your plan and legal requirements.

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AXIOMGUARDOS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO AXIOMGUARDOS FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Without limiting the foregoing, AxiomGuardOS will not be liable for lost or unsuccessful bids for government contracts, failed C3PAO assessments or audits, negative or adverse Supplier Performance Risk System scores, or similar procurement or assessment outcomes, even if arising in connection with your use of the Services.

15. Indemnity

You agree to indemnify and hold harmless AxiomGuardOS from claims arising out of your Customer Data or your misuse of the Services, including violations of law or third-party rights.

16. Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of Connecticut, United States, without regard to its conflict of law rules. Venue for disputes will be the state or federal courts located in Connecticut, unless otherwise agreed in writing.

17. Changes to These Terms

We may update these Terms from time to time. We will post the updated version and revise the "Last updated" date. Continued use of the Services after changes become effective constitutes acceptance.
